    Understand how ExaHealth operates

    1. Introduction

    Welcome to ExaHealth, This website is operated by DATASPEAKS SERVICES PRIVATE LIMITED. Throughout the site, the terms "we", "us" and "our" refer to DATASPEAKS SERVICES PRIVATE LIMITED.

    By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must discontinue use of the platform immediately.

    These Terms & Conditions should be read in conjunction with our Privacy Policy, Cancellation & Refund Policy, and Shipping & Delivery Policy.

    2. Eligibility

    • •Users must be at least 18 years of age or have reached the age of legal majority in their jurisdiction.
    • •By using ExaHealth, you represent that you have the legal capacity to enter into a binding agreement.
    • •Users are responsible for providing accurate, current, and complete personal information during registration and for updating such information as necessary.
    • •ExaHealth reserves the right to refuse service, terminate accounts, or cancel subscriptions at its sole discretion if eligibility requirements are not met.

    3. Nature of Services

    ExaHealth provides digital tools for users to upload, store, organize, and access their personal health information.

    • •Medical Disclaimer: ExaHealth does not provide medical advice, diagnosis, treatment recommendations, or emergency services. The platform is a data management tool only. Always consult qualified healthcare professionals for medical decisions.
    • •All information stored or managed within ExaHealth is supplied, controlled, and owned by the user.
    • •ExaHealth does not verify the accuracy, completeness, or validity of any health information uploaded by users.

    4. User Account & Responsibilities

    • •Users must maintain the confidentiality of their login credentials and must not share account access with others.
    • •Users are solely responsible for all activity occurring under their account, whether authorized or unauthorized.
    • •Users must ensure the information they upload is accurate, lawful, and does not infringe on any third-party rights.
    • •Users must notify ExaHealth immediately at support@exahealth.com if they suspect unauthorized access to their account.
    • •Misuse of the platform, including unauthorized access attempts, data scraping, or exploitation of vulnerabilities, is strictly prohibited.

    5. Data Privacy & Security

    ExaHealth implements industry-standard security measures including encryption (in transit and at rest), secure cloud storage, and authenticated access controls.

    Users retain full ownership of the data they upload. ExaHealth claims no ownership rights over user content.

    ExaHealth will not share, sell, rent, or disclose user data to third parties except in the circumstances below:

    • •When legally required by court order, subpoena, or applicable law.
    • •When explicitly authorized by the user.
    • •To trusted service providers who assist in operating the platform, subject to strict confidentiality agreements.

    6. Subscription, Billing & Payments

    • •Certain features of ExaHealth require an active paid subscription.
    • •By subscribing, users authorize ExaHealth to charge recurring fees to the designated payment method until the subscription is cancelled.
    • •Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected.
    • •Subscription fees are non-refundable except as described in our Cancellation & Refund Policy.
    • •ExaHealth reserves the right to modify subscription pricing with at least 30 days' advance notice. Continued use after the price change constitutes acceptance.

    7. Service Availability

    • •ExaHealth aims to maintain continuous platform availability with a target uptime of 99.9%.
    • •Scheduled maintenance or updates may cause temporary downtime; users will be notified at least 48 hours in advance whenever possible.
    • •ExaHealth is not liable for service interruptions caused by internet outages, third-party hosting failures, force majeure events, or unauthorized access despite reasonable security measures.

    8. Intellectual Property

    • •All platform software, source code, branding, logos, UI/UX design, documentation, and related materials are the exclusive property of ExaHealth and are protected by applicable intellectual property laws.
    • •Users are granted a limited, non-exclusive, non-transferable, revocable license to use the platform for personal, non-commercial purposes in accordance with these Terms.
    • •Users may not copy, modify, reverse-engineer, decompile, distribute, sublicense, or create derivative works from any part of the platform.
    • •All feedback, suggestions, or ideas submitted by users may be used by ExaHealth without obligation or compensation.

    9. Prohibited Activities

    Violations may result in immediate account suspension, termination, and/or legal action.

    • •Uploading harmful, illegal, defamatory, obscene, or abusive content.
    • •Attempting to bypass, disable, or circumvent security controls.
    • •Using the platform to store or distribute malware, viruses, or malicious code.
    • •Impersonating others or creating fraudulent accounts.
    • •Using automated scripts, bots, or crawlers to access the platform.
    • •Interfering with or disrupting the platform's infrastructure or other users' access.'
    • •Using the platform for any unlawful purpose or in violation of applicable laws.

    10. Termination of Access

    By ExaHealth: ExaHealth may suspend or terminate user access, with or without notice, if these Terms are violated, fraudulent or suspicious activity is detected, required by law or legal process, or if the user's actions pose a risk to the platform or other users.

    By User: Users may terminate their account at any time through account settings or by contacting support@exahealth.com.

    Effect of Termination: Upon termination, users will lose access to paid features immediately or at the end of the current billing cycle, depending on circumstances. Data retention and deletion follow the procedures outlined in our Cancellation & Refund Policy.

    11. Limitation of Liability

    • •ExaHealth provides the platform on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
    • •ExaHealth is not responsible for medical decisions, health outcomes, or any consequences arising from information stored or accessed on the platform.
    • •ExaHealth is not liable for data loss caused by user actions, forgotten credentials, account compromise due to user negligence, or external system failures.
    • •In no event shall ExaHealth, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
    • •ExaHealth's total liability for any claim arising from or related to these Terms or the platform shall not exceed the amount paid by the user to ExaHealth in the twelve (12) months preceding the claim.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless ExaHealth , its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use or misuse of the platform, your violation of these Terms, your violation of any third-party rights, or any content you upload to the platform.

    13. Dispute Resolution

    Any dispute, controversy, or claim arising out of or relating to these Terms or the platform shall first be attempted to be resolved through good-faith negotiation between the parties.

    If the dispute cannot be resolved within 30 days, either party may initiate binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, India, under the jurisdiction of courts in Hyderabad, India. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties.

    Each party shall bear its own costs, and the arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

    14. Governing Law & Jurisdiction

    These Terms & Conditions shall be governed by and construed in accordance with the laws of India.

    Subject to the arbitration clause above, the courts of Hyderabad, India, shall have exclusive jurisdiction over any disputes arising from these Terms.

    15. Force Majeure

    ExaHealth shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet disruptions, cyberattacks, or failure of third-party services.

    16. Communications & Notifications

    • •By creating an account, you consent to receive transactional communications from ExaHealth, including account confirmations, billing notices, security alerts, and service updates.
    • •You may opt out of promotional communications at any time through your account settings or by clicking "unsubscribe" in any promotional email.
    • •ExaHealth may provide notices via email, in-app notifications, or by posting on the platform.

    17. Third-Party Services

    • •The platform may integrate with or contain links to third-party services or websites.
    • •ExaHealth does not control and is not responsible for the content, privacy practices, or availability of third-party services.
    • •Your use of third-party services is governed by their respective terms and policies.

    18. Severability

    If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

    19. Entire Agreement

    These Terms & Conditions, together with the Privacy Policy, Cancellation & Refund Policy, and Shipping & Delivery Policy, constitute the entire agreement between you and ExaHealth regarding the use of the platform and supersede all prior agreements, understandings, or representations.

    20. Changes to Terms

    • •ExaHealth reserves the right to update or modify these Terms & Conditions at any time.
    • •Material changes will be communicated via email or in-app notification at least 15 days before taking effect.
    • •Updated versions will be posted with a revised "Effective Date" and "Version" number.
    • •Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
